End User License Agreement (EULA)

This End User License Agreement (“Agreement”) is a legal agreement between you (“User” or “You”) and Cents and Expense Bookkeeping, LLC (“Company,” “We,” or “Us”) regarding the use of the BillableOff (“Software”).

By installing, accessing, or using the Software, you agree to be bound by the terms of this Agreement. If you do not agree, do not install or use the Software.

1. License Grant

The Company grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Software solely for your personal or internal business use, in accordance with this Agreement.

2. Restrictions

You agree not to:

Copy, distribute, or modify the Software except as expressly permitted.
Reverse engineer, decompile, or disassemble the Software.
Rent, lease, or sublicense the Software to third parties.
Use the Software for any unlawful purpose.

3. Ownership

The Software is licensed, not sold. The Company retains all rights, title, and interest in and to the Software, including all intellectual property rights.

4. Updates

The Company may provide updates or modifications to the Software. Such updates will be subject to this Agreement unless accompanied by a separate license.

5. Termination

This Agreement is effective until terminated. The Company may terminate this Agreement immediately if you fail to comply with any term. Upon termination, you must stop using the Software and destroy all copies.

6. Disclaimer of Warranties

The Software is provided “AS IS” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

7. Limitation of Liability

To the maximum extent permitted by law, the Company shall not be liable for any damages arising out of the use or inability to use the Software, including but not limited to lost profits, data loss, or business interruption.

8. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of [Your State/Country], without regard to its conflict of law principles.

9. Entire Agreement

This Agreement constitutes the entire agreement between you and the Company regarding the Software and supersedes all prior agreements or understandings.
